Project Merci Merger Sub, Inc., a Nevada corporation (“Purchaser”), is offering to purchase, subject to certain conditions, including the satisfaction of the Minimum Tender Condition (as defined in document), all of the outstanding shares of common stock, par value $0.01 per share of Chembio Diagnostics, Inc., a Nevada corporation (“CEMI”), at a price of $0.45 per Share, net to the seller, in cash, without interest and subject to any required withholding taxes, upon the terms and subject to the conditions set forth in the offer to purchase and the related letter of transmittal.
The terms of the offer are as follows:
Option 1: Take no action [Default option]
Option 2: USD 0.45 per share tendered and accepted（less any applicable withholding tax）
The deadline to tender shares to the offer will be 19/04/2023@ 16:00 (HONG KONG TIME GMT+8).
In the absence of an election, no action will be taken.
