OLK.US Tender Offer
Goldcup 33985 AB (u.c.t. Orion Acquisition AB) has offered to to acquire all of the outstanding Common Shares and ADSs of OLINK HOLDING AB (OLK.US) in exchange for $26.00 per Common Share, representing $26.00 per ADS, in cash, without interest, and subject to any applicable withholding tax, upon the terms and subject to the conditions set forth in this purchase offer and related transfer instructions. Participants must obtain the Offer to Purchase, related Letter of Transmittal, and Schedule 14D-9, dated 31/10/2023 for complete terms and conditions of the offer. Participants should consult their tax advisor for complete details in reference to withholding taxes.
The terms of the offer are as follows:
Option (1): Take no action [Default option]
Option (2): Tender Shares – PRICE OF US$26.00 PER ADS IN NET CASH (less any applicable withholding taxes）
The deadline to tender shares to the offer will be 28/06/2024@ 16:00 (HONG KONG TIME GMT+8).
In the absence of an election, no action will be taken.
