SBOW.US Merger with Election
SilverBow Resources, Inc. (SBOW.US) will merge with Crescent Energy Company (CRGY), Artemis Acquisition Holdings Inc., Artemis Merger Sub Inc., Artemis Merger Sub Inc., and Artemis Merger Sub II LLC. Holders of SilverBow Resources, Inc. (SBOW.US) can elect to receive all cash or all stock or a combination of cash and stock. If the all cash election is oversubscribed, such elections may be prorated.
Participants must obtain the Agreement and Plan of Merger and Reorganization Dated as of 15/05/2024 and proxy statement/prospectus mailed June 28, 2024.
The terms of the offer are as follows:
Option (1): Elect for SHARES - 3.125 SHARES OF CRESCENT COMMON-STOCK (SUBJECT TO PRORATION)
Option (2): Elect for CASH - $38.00 PER SHARE (SUBJECT TO PRORATION)
Option (3): Elect for a combination of CASH and SHARES - $15.31 CASH AND 1.866 SHARES OF CRESCENT
As a result of the proration provisions, no guarantee can be made that you will receive the form of Merger Consideration that you elect.
No response is required for holders who do not want to participate in this offer.
The deadline to tender shares to the offer will be 17/07/2024@ 16:00 (HONG KONG TIME GMT+8).
