XYF.US Tender Offer

X Financial (XYF.US) announced a tender offer to purchase up to 2 million American Depositary Shares (the ADSs) of the Company, each representing six Class A ordinary shares, par value USD 0.0001 per share, at a price of USD 4.52 per ADS (the Purchase Price), less any applicable withholding taxes, less a cancellation fee of USD 0.05 per ADS accepted for purchase in the Tender Offer that will be paid to The Bank of New York Mellon, the Company's ADS depositary (the ADSs Depositary), and without interest. Participants must obtain the Offer to Purchase for Cash by X FINANCIAL dated 05/06/2024, related Letter of Transmittal for complete terms and conditions of the offer. Participants should consult their tax advisor for complete details in reference to withholding taxes.

The terms of the offer are as follows:

Option (1): Take no action [Default option]

Option (2): Tender Shares – USD 4.52 per ADS NET IN CASH (less a cancellation fee of USD 0.05 per ADS accepted and less any applicable withholding taxes）

The deadline to tender shares to the offer will be 05/07/2024@ 16:00 (HONG KONG TIME GMT+8).

In the absence of an election, no action will be taken.
